Referral Partner Program Rules

1. Enrollment. Enrollment in the Referral Partner Program (the “Program”) by the Referral Partner is voluntary. By referring an individual or a company ("Referred Entity") to One Communications and by submitting a signed IRS W-9 form and a Referral Partner Program Enrollment Form, Referral Partner is enrolled in the Program upon acceptance by One Communications and agrees to comply with the terms and conditions set forth herein and will receive referral fee ("Referral Compensation") as specified in the Program description and/or this Agreement.

2. Qualified Lead. To qualify for Referral Compensation, the Referred Entity must be an entity that is not or has not been a One Communications customer or a One Communications prospect customer that is already listed on the One Communications billing system or other information systems as well as those of the One Communications business partners. Furthermore, the Referred Entity must sign up as a One Communications customer directly as a result of Referral Partner's referral within six months of the referral date.

3. Type of Compensation. Referral Partner will receive the Referral Compensation according to the scope and schedule set forth in Section 4 in the form of a check payment from One Communications.

4. Compensation Scope and Schedule. Partners that refer qualified prospects to One Communications will be eligible to receive 1XMRC of the referred sale (not including taxes, fees, upgrades, NRCs, usage or add-ons) in the form of a one-time, compensation payment if the prospect becomes a One Communications customer.  Any payment exceeding $10,000.00 will be looked at on an individual case basis and may be subject to a capped compensation.

The Referral Partner must submit a lead form for any qualified lead referred to One Communications in order to be paid.  Referral Partners will not be paid for any sales submitted without a lead form on file. The Referral Compensation will be paid out within forty-five (45) days after the referred entity receives their second month’s bill.   In the event the referred entity’s service is terminated by either the referred entity or One Communications within six (6) months of the referred entity’s service commencement date, One Communications may, at its sole discretion and upon notification to the Referral Partner, (i) require Referral Partner to pay the Referral Compensation for such referred entity back to One Communications or (ii) offset such Referral Compensation against any future payments owed by it to Referral Partner.

5. Eligibility. One Communications reseller partners, agent partners, channel partners, and staff of One Communications and their relatives are not eligible to be a Referral Partner.  Previous employees are eligible three (3) months after the date of separation.

6. Term. The Term of this Agreement shall commence upon Referral Partner's enrollment in the program and continue until terminated by either party.  There are no minimum number of leads required to remain in the program.

7. Modification. At its sole discretion, One Communications may modify the terms and conditions specified in this Agreement at any time, by posting a new agreement on the One Communications website. Modifications may include, but not limited to, changes of Referral Compensation scope and payout schedules and Program rules and description. REFERRAL PARTNER'S CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING ONE COMMUNICATIONS POSTING OF THE NEW AGREEMENT ON ITS WEBSITE WILL CONSTITUTE BINDING ACCEPTANCE OF CHANGES AND THE NEW AGREEMENT IN ITS ENTIRETY. IF REFERRAL PARTNER DOES NOT AGREE WITH ANY MODIFICATION, THE ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT.
